OKX P2P Paid Ad Program — Terms & Conditions

1. General

1.1 By participating in the OKX P2P Paid Ad Program (the "Program"), you (the "Merchant") agree to comply with and be bound by these Terms & Conditions (the "P2P Paid Ad Terms" or the "Terms"). These Terms constitute a legally binding agreement between you and and Aux Cayes FinTech Co. Ltd. ("OKX"). Please read these Terms carefully before participating in the Program. If you do not agree with any part of these Terms, you must not participate in the Program.

1.2 These Terms are supplemental to the OKX P2P User Agreement ("P2P User Agreement"), OKX P2P Verified Merchant Service Agreement ("P2P Verified Merchant Service Agreement") and the OKX Terms of Service. The provisions set out in the P2P User Agreement, the P2P Verified Merchant Service Agreement, and OKX Terms of Service shall continue to apply. In the event of any conflict or inconsistency between these P2P Paid Ad Terms and the agreements listed above, these P2P Paid Ad Terms shall prevail to the extent of such conflict as it relates to the Program. For all other matters relating to the use of the P2P Service, the OKX P2P User Agreement and the OKX P2P Verified Merchant Service Agreement shall govern.

1.3 You agree to be bound by OKX's Privacy Policy, which is incorporated by reference herein. You further agree to comply with any other P2P-related terms, policies and rules as OKX may publish on the OKX Platform from time to time and which are made reasonably accessible to Merchants prior to and during their participation in the Program.

1.4 OKX reserves the right to amend these Terms at any time. OKX will endeavour to provide Merchants with reasonable advance notice of any material amendments by posting an updated version on the OKX Platform and/or via in-platform or email notification. Amendments will take effect on the date specified in the relevant notice, or if no such date is specified, upon posting. Your continued participation in the Program following the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your participation in the Program.

1.5 In these Terms, the following defined terms shall have the meanings set out below. Additional defined terms are introduced in context throughout these Terms.

"Advertisement" or "Ad" has the meaning given to it in the P2P User Agreement, being an offer published on the P2P Service on the OKX Platform by a Merchant setting out the terms on which the Merchant is willing to trade Digital Assets.

"Bid Deadline" has the meaning given to it in Clause 3.5.

"Eligible Jurisdiction" has the meaning given to it in Clause 2.1(e).

"Paid Ad" means a Merchant's Advertisement that has been awarded a promoted placement on the OKX P2P marketplace in accordance with the Terms of the Program, resulting in the ad being displayed in a designated position on the OKX Platform during the awarded time slot. A Paid Ad remains subject to all requirements applicable to Advertisements generally under the P2P User Agreement, the P2P Verified Merchant Service Agreement, and all applicable law and regulations, in addition to the specific requirements set out in these Terms.

"Pricing Requirement" has the meaning given to it in Clause 4.3.

2. Eligibility

2.1 To be eligible to participate in the Program, a Merchant must satisfy all of the following criteria at the time of bid submission and must continue to satisfy them throughout the ad placement period:

(a) the Merchant must hold a registered OKX P2P Merchant account with Verified Merchant or Diamond Merchant status, as defined by OKX. For the avoidance of doubt, a Merchant's eligibility under this Clause 2.1(a) is contingent on their continued compliance with the P2P Verified Merchant Service Agreement, including any minimum deposit requirements or account conditions specified therein. Merchants should note that amounts frozen as a bid deposit under the Program are in addition to, and do not reduce, any deposit amount required to be maintained under the P2P Verified Merchant Service Agreement;

(b) the Merchant must have a minimum of two hundred (200) completed orders on the OKX P2P platform;

(c) the Merchant must maintain an order completion rate of eighty percent (80%) or above, as recorded on the OKX Platform at the time of bid submission and at all times during the ad placement period;

(d) the Merchant's OKX account must be in good standing, with no active restrictions, suspensions, or pending investigations imposed by OKX; and

(e) the Merchant must be resident in, or operating from, a jurisdiction determined by OKX to be eligible for participation in the Program, as may be updated by OKX from time to time.

2.2 Eligibility criteria for participation in the Program, including minimum requirements and permitted configurations, may vary by regions. Merchants are responsible for reviewing and complying with the region-specific requirements applicable to their region prior to participating in the Program. Such requirements shall be set out in the relevant landing page. In the event of any inconsistency between the region-specific requirements published on the Program's landing page and the general eligibility criteria as set out in Clause 2.1, the region-specific requirements shall prevail.

2.3 OKX reserves the right to verify a Merchant's eligibility at any time, including but not limited to situations where after a bid has been submitted by a Merchant or an ad placement has been awarded. OKX may request supporting documentation from a Merchant to confirm its eligibility, and the Merchant agrees to provide such documentation promptly upon request.

2.4 If a Merchant fails to meet or ceases to meet any of the eligibility criteria set out in this Clause 2 at any time during its participation in the Program, OKX reserves the right to disqualify the Merchant from the Program, suspend or remove any active ad placement, and forfeit any bid amount paid, in each case without liability to the Merchant. OKX will notify the Merchant of any such disqualification where reasonably practicable.

2.5 Without limiting the generality of Clause 2.4, if a Merchant's Verified Merchant or Diamond Merchant status under the OKX P2P Verified Merchant Service Agreement is suspended, cancelled, or otherwise terminated for any reason, such Verified Advertiser shall be automatically disqualified from the Program with immediate effect, and any active Paid Ads will be removed in accordance with Clause 2.4. OKX will endeavour to notify the Verified Advertiser of such disqualification where reasonably practicable. Bid amounts forfeited pursuant to this Clause 2.4 shall be retained by OKX and shall not be refunded, save where OKX determines at its sole discretion that a refund is warranted in exceptional circumstances.

2.6 OKX reserves the right to amend the eligibility criteria set out in Clause 2.1 at any time in accordance with Clause 1.4. Merchants are responsible for monitoring and ensuring their continued compliance with any updated eligibility criteria.

3. Bidding Process

3.1 All bids must be submitted through the OKX Platform via the Merchant Dashboard. The Paid Ad feature is currently not available on the OKX mobile application.

3.2 To place a bid, a Merchant must:

(a) navigate to the Merchant Dashboard on the OKX Platform;

(b) select the Ad Bidding option;

(c) select the preferred twenty-four (24) hour time slot(s); and

(d) enter the corresponding bid amount(s).

The minimum bid amount is twenty (20) USDT per time slot. OKX reserves the right to adjust the minimum bid amount in accordance with Clause 1.4.

3.3 The bidding process is sealed. Merchants are not permitted to view, and OKX will not disclose, the bid amounts or bid details of any other Merchant during or after the bidding period, except to the extent required by applicable law or court order.

3.4 OKX will issue a reminder notification to Merchants twelve (12) hours before the close of the bidding period. The issuance of such reminder is provided as a courtesy only and does not constitute an obligation on OKX. Failure by OKX to issue a reminder shall not affect the validity of the bidding deadline or give rise to any claim by a Merchant.

3.5 All bids must be submitted no later than twelve (12) hours before the start of the selected time slot (the "Bid Deadline"). Any bid submitted after the Bid Deadline will be automatically rejected and shall have no effect. OKX shall not be liable for any technical difficulties or delays that prevent a Merchant from submitting a bid before the Bid Deadline. For the avoidance of doubt, once submitted and prior to any withdrawal in accordance with Clause 3.7, a bid is irrevocable. A Verified Advertiser may not modify any element of a submitted bid; any intended modification requires full withdrawal and resubmission in accordance with Clause 3.7.

3.6 Once submitted, a bid is irrevocable and its details, including the selected time slot(s) and bid amount(s), can not be modified.

3.7 Notwithstanding Clause 3.6, a Merchant may withdraw an existing bid in its entirety and resubmit a new bid with updated details, provided that: (a) the withdrawal and resubmission are both completed before the Bid Deadline; and (b) any bid amounts frozen in connection with the withdrawn bid shall be released and re-frozen in connection with the new bid in accordance with Section 5. For the avoidance of doubt, partial modifications to a submitted bid are not permitted; a Merchant wishing to amend any bid detail must withdraw and resubmit in full.

4. Paid Ad Placement

4.1 Paid Ads' placements will be awarded to the highest bidder for each time slot upon conclusion of the bidding period. In the event of a tie between two or more bids of equal amount for the same time slot, OKX reserves the right to determine the winning bid at its sole and absolute discretion using such criteria as OKX deems appropriate, including but not limited to the time of bid submission, provided that OKX shall apply such tie-breaking criteria consistently across all Verified Advertisers submitting bids for the same time slot. OKX's sole decision on the award of any Paid Ad's placement shall be final and binding. Merchants will be notified of their bidding outcome via email or in-platform notification.

4.2 Once a Paid Ad's placement has been awarded and the Merchant has been notified in accordance with Clause 4.1, the winning bid is final and cannot be withdrawn or reversed by the Merchant.

4.3 Paid Ads must at all times be priced within ten percent (±10%) of the prevailing mid-market rate for the relevant currency pair as determined by OKX (the "Pricing Requirement"). Where a Paid Ad falls outside the Pricing Requirement, OKX will suspend the display of the relevant Paid Ad, such that it will no longer appear as a promoted listing on the OKX Platform. The Paid Ad will continue to be listed in the P2P marketplace under standard ranking rules until the Merchant updates the pricing to meet the Pricing Requirement, at which point the Paid Ad status will be reinstated for the remainder of the awarded time slot. For the avoidance of doubt, no refund or credit of bid amounts will be issued in respect of any period during which the display of a Paid Ad is suspended pursuant to this Clause.

4.4 OKX reserves the right to reject, suspend, or permanently remove the display of any Paid Ad at any time where OKX reasonably determines that the ad does not comply with these P2P Paid Ad Terms, the OKX P2P User Agreement, OKX P2P Verified Merchant Service Agreement, the OKX Terms of Service or any other applicable guidelines or policies. Where a Paid Ad is removed pursuant to this Clause, Clause 9.3 shall apply with respect to any bid amounts paid.

4.5 Merchants are solely responsible for the content, accuracy, and legality of their Paid Ads. OKX's review or approval of any Paid Ads shall not constitute an endorsement of, or representation as to, the accuracy or legality of the ad content.

4.6 Following the award of a Paid Ad's placement, the Merchant is solely responsible for selecting the Paid Ad to be displayed and configuring the Paid Ad in accordance with the parameters and specifications of the awarded time slot, as made available by OKX on the OKX Platform. OKX does not provide setup assistance and shall bear no responsibility for any errors, omissions, or suboptimal configurations resulting from the Merchant's setup of the Paid Ad.

4.7 The Merchant must complete the setup of their Paid Ad within the timeframe specified by OKX for the relevant time slot. Failure to set up the Paid Ad by the applicable deadline — for any reason, including but not limited to oversight or delay on the part of the Merchant — shall result in the forfeiture of that time slot. In such circumstances: (a) no refund of the bid amount will be issued; (b) OKX shall bear no liability for any losses, missed opportunities, or damages suffered by the Merchant as a result of the failure to set up the Paid Ad in time; and (c) the unused time slot will not be carried forward, credited, or re-awarded to the Merchant.

5. Payment

5.1 The primary currency for bid submissions under the Program is USDT. OKX reserves the right to change the primary bid currency or introduce additional accepted currencies at any time.

5.2 Upon submission of a bid, the bid amount will be frozen in the Merchant's OKX account and will not be available for withdrawal or use until the bidding result has been determined. By submitting a bid, the Merchant authorises OKX to freeze the relevant bid amount for this purpose. Where a Merchant has insufficient funds in their OKX account to cover the bid amount at the time of bid submission, OKX reserves the right to reject the bid without notice. OKX shall not be liable for any loss suffered by a Merchant as a result of a bid being rejected due to insufficient funds.

5.3 Upon conclusion of the bidding session: (a) Merchants who did not win an ad placement will have their frozen bid amounts returned in full to their OKX account; and (b) the winning Merchant's bid amount will be deducted from their OKX account as payment for the awarded ad placement, in accordance with Clause 5.4.

5.4 The full bid amount will be deducted from the winning Merchant's OKX account upon the award of the ad placement. This deduction is final and non-refundable, except as expressly provided in these Terms or required by applicable law.

5.5 Once a Paid Ad's placement has been awarded and the bid amount deducted in accordance with the Terms herein, the Merchant shall have no right to withdraw, reverse, or reclaim such bid amount, save where OKX terminates the Paid Ad's placement without cause attributable to the Merchant, in which case OKX may, at its sole discretion, provide a pro-rata refund of the bid amount in respect of any unutilised portion of the awarded time slot, calculated on a straight-line basis from the time of termination to the end of the awarded slot.

6. P2P Paid Ad Management

6.1 All Paid Ads must at all times comply with these P2P Paid Ad Terms, the OKX P2P User Agreement, OKX P2P Verified Merchant Service Agreement, the OKX Terms of Service, and any other applicable rules and policies published by OKX on the OKX Platform from time to time (collectively, the "Applicable Rules").

6.2 OKX reserves the right, at any time and without prior notice, to pause, modify, or permanently remove any Paid Ad that OKX reasonably determines to be in breach of the Applicable Rules, inappropriate, misleading, or otherwise harmful to users of the OKX Platform or the integrity of the P2P marketplace. OKX will use reasonable endeavours to notify the Merchant of any such action promptly after it is taken.

6.3 In addition to the removal of the Paid Ad, a breach of the Applicable Rules may result in the suspension or termination of the Merchant's participation in the Program and/or the Merchant's broader OKX account, in accordance with Section 9 of these P2P Paid Ad Terms and the relevant provisions of the P2P User Agreement, the P2P Verified Merchant Service Agreement, the OKX Terms of Service or applicable laws and regulations.

6.4 Merchants are solely responsible for monitoring their Paid Ads to ensure ongoing compliance with the Applicable Rules. The fact that an ad has been awarded a placement or has not been removed by OKX shall not be construed as OKX's approval of, or confirmation of compliance with, the Applicable Rules.

7. Disclaimer of Warranties and Liability

7.1 The Program, including any ad placements awarded pursuant to these P2P Paid Ad Terms, is provided on an "as is" and "as available" basis. OKX makes no representation, warranty, or guarantee, whether express or implied, as to: (a) the performance, visibility, or reach of any Paid Ad; (b) the number of impressions, clicks, or transactions that may result from a Paid Ad; (c) the continuous or uninterrupted availability of the Paid Ads feature on the OKX Platform; or (d) the suitability of the Program for any particular Merchant's commercial objectives.

7.2 To the fullest extent permitted by applicable law, OKX shall not be liable to any Merchant for any loss or damage, whether direct, indirect, incidental, consequential, or otherwise, arising out of or in connection with: (a) participation in the Program; (b) the award, pause, modification, or removal of any ad placement; (c) any failure or delay in the operation of the OKX Platform; or (d) any decision made by OKX in the exercise of its sole discretion under these P2P Paid Ad Terms.

7.3 Nothing in these P2P Paid Ad Terms shall limit or exclude OKX's liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

8. Paid Ad Fees

8.1 OKX may introduce or vary fees associated with the Program at any time. OKX will provide Merchants with reasonable advance notice of any new or increased fees in accordance with Clause 1.4 before such fees take effect. Continued participation in the Program following the effective date of any fee change constitutes the Merchant's acceptance of the revised fee structure.

8.2 All fees payable under the Program are non-refundable except as expressly provided in these P2P Paid Ad Terms or as required by applicable law.

9. Suspension and Termination

9.1 OKX reserves the right to suspend or terminate a Merchant's participation in the Program at any time. Where suspension or termination is due to a Merchant's breach of these P2P Paid Ad Terms, the Applicable Rules, or any related agreements, OKX may do so without prior notice.

9.2 Grounds for suspension or termination include, but are not limited to:(a) breach of these P2P Paid Ad Terms or the Applicable Rules;(b) failure to maintain the eligibility criteria set out in Clause 2.1;(c) engagement in fraudulent, deceptive, or manipulative conduct in connection with the Program or the P2P Service; or(d) any action that OKX reasonably determines to be harmful to the integrity of the Program, the P2P marketplace, or other OKX users.

9.3 Upon termination of a Merchant's participation in the Program, (a) any active Paid Ads will be immediately removed from the OKX Platform; (b) any bid amounts already deducted in connection with awarded placements shall be non-refundable, subject to Clause 5.5; and (c) any frozen bid amounts relating to pending bids that have not yet been awarded shall be returned to the Merchant's OKX account.

9.4 Suspension or termination of a Merchant's participation in the Program does not preclude OKX from taking further action against the Merchant under the P2P User Agreement, the OKX Terms of Service, or any other applicable agreement, including the suspension or termination of the Merchant's broader OKX account.

9.5 A Merchant may voluntarily withdraw from the Program at any time. Voluntary withdrawal shall not entitle the Merchant to any refund of bid amounts already deducted in accordance with Clause 5.4.

10. Market Integrity and Anti-Manipulation

10.1 Merchants must not engage in any conduct that distorts or manipulates the bidding process, including but not limited to: (a) shill bidding (bidding on one's own ad or coordinating with another party to inflate bid prices artificially); (b) bid shielding (placing a high bid to protect a lower bid by an associate, then withdrawing the high bid before the deadline); (c) coordinated bidding arrangements with other Merchants to suppress competition or fix bid prices; or (d) any other conduct that OKX reasonably determines, in its sole discretion, to be manipulative or contrary to the integrity of the Program.

10.2 Merchants must not use Paid Ads to facilitate, promote, or enable transactions that may constitute money laundering, terrorist financing, fraud, or any other financial crime. Paid Ads must not be structured or used in a manner designed to obscure the origin or destination of funds.

10.3 OKX reserves the right to monitor bidding patterns and Paid Ad activity for indications of manipulation, wash trading, or other abusive conduct. Where OKX has reasonable grounds to suspect a breach of this Clause 10, OKX may, without prior notice: (a) suspend or cancel any active or pending bid; (b) disqualify the Merchant from the Program; (c) forfeit any bid amounts paid; and (d) report the matter to relevant regulatory or law enforcement authorities.

10.4 Any breach of this Clause 10 shall be deemed a material breach of these Terms and may result in the immediate suspension or termination of the Merchant's participation in the Program and its broader OKX account, in addition to any other remedies available to OKX under these Terms, the P2P User Agreement, the P2P Verified Merchant Service Agreement, the OKX Terms of Service or applicable laws and regulations.

10.5 OKX shall bear no liability to any Merchant for any losses arising from OKX's exercise of its rights under this Clause 10, including the suspension or termination of bidding or Paid Ad placements where OKX has reasonable grounds to suspect a breach.
